1. Acceptance of Terms

By accessing or using the SYG Club member portal ("Platform") operated by Sell Your Gold USA, LLC ("SYG," "we," "us"), you agree to be bound by these Terms & Conditions and all applicable laws. If you do not agree, you may not access or use the Platform.

2. Membership & Access

SYG Club is a private, invitation-based members portal for qualified buyers of precious metals. Membership is granted at the sole discretion of SYG. We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or causes harm to our business or other members.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs through your account. Notify us immediately at support@sygusa.com if you suspect unauthorized access.

3. Purchases & Invoices

All purchases through SYG Club are subject to availability and confirmation by SYG. Listing an item as "Available" does not constitute a binding offer to sell. A sale is only confirmed when you receive a written invoice from SYG.

Prices are calculated based on live spot prices of precious metals at the time of invoice generation and may differ from prices displayed on the Platform due to market fluctuation. All prices are quoted in US Dollars (USD).

Payment is due within the timeframe specified on your invoice. Failure to pay by the due date may result in cancellation of the reservation and forfeiture of any deposit paid.

4. Pricing & Spot Metal Rates

Precious metal prices shown on the Platform are sourced from third-party market data providers and are updated periodically. SYG makes no warranty regarding the accuracy, completeness, or timeliness of spot price information. Live spot prices are provided for informational purposes only and are not guaranteed sale prices.

5. Shipping

Shipping costs are the sole responsibility of the buyer and will be calculated and communicated on your invoice prior to shipment. SYG will notify you of the exact shipping amount so that you may remit payment accordingly. Items will not be shipped until all payment — including shipping charges — has been received and cleared. 6. Returns

All sales are final. We do not accept returns on any item once it has been shipped. Please review our Returns Policy for complete details before completing a purchase.

7. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable regulation.
• Attempt to gain unauthorized access to other accounts or SYG systems.
• Use automated bots, scrapers, or scripts to access or extract data from the Platform.
• Misrepresent your identity or provide false information during registration or purchase.
• Engage in market manipulation, fraudulent bidding, or any form of deceptive practice.

8. Limitation of Liability

To the maximum extent permitted by law, SYG shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Platform, even if SYG has been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid to SYG in the three (3) months preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Broward County, Florida.

10. Changes to Terms

SYG reserves the right to modify these Terms at any time. We will provide notice of material changes via SMS to your registered phone number. Your continued use of the Platform following such notice constitutes your acceptance of the revised Terms.
